Subject Matter & Scope of the NCNDA Protocol
Every presentation of a productive asset, information memorandum, SPV financial model, term sheet, or institutional introduction carried out by G.Mercury & Cie is governed by a Non-Circumvention, Non-Disclosure Agreement (NCNDA) aligned with International Chamber of Commerce (ICC) standards.
Protection of the Proprietary Method ('The Hourglass of Perspectives')
The financial architecture 'The Hourglass of Perspectives' (Le Sablier des Perspectives) is a proprietary method registered with the African Intellectual Property Organization (OAPI). While its general principles (structuring without sovereign debt, dedicated SPV per asset, full reversion of the asset to the State) are public, its contractual mechanisms, allocation matrices, and quantitative algorithms remain strictly confidential.
Strict Non-Circumvention Covenant
Institutional investors, funds of funds, family offices, industrial operators, and advisors introduced by G.Mercury & Cie expressly undertake not to contact, negotiate with, or enter into agreements directly or indirectly with the introduced public authorities, concessionaires, or counterparties without the prior written involvement of the firm, for a period of sixty (60) months from the date of introduction.
Sovereign & Counterparty Anonymity
Unless expressly authorized in writing by the relevant public authority or corporate client, G.Mercury & Cie never discloses the identity of a State, ministry, public entity, or industrial group under mandate in its public communications. Supporting documentation is shared solely in an encrypted data room following countersignature of an NCNDA.
Traceability, Sealing & International Arbitration
Every document disclosed under an NCNDA carries an individual cryptographic watermark (SHA-256) identifying the recipient. Any breach of confidentiality or non-circumvention obligations is subject to binding international arbitration in accordance with the arbitration clause stipulated in the executed NCNDA.
